These Terms of Use (“Terms”) govern your access to and use of the Pro Sports IQ website, software, applications, reports, subscriptions, data displays, analytical tools and related services (collectively, the “Services”).

The Services are provided by 2849797 ALBERTA Ltd., an Alberta corporation operating Pro Sports IQ (“Pro Sports IQ,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, purchasing a subscription, or otherwise using Pro Sports IQ, you agree to these Terms.

If you do not agree with these Terms, do not use the Services.

Pro Sports IQ is a sports analytics, statistical research and information platform.

The Services may include:

• team and player statistics;
• proprietary ratings and rankings;
• model-generated probabilities;
• projected scores;
• projected spreads and totals;
• model-derived fair odds;
• matchup analysis;
• market and odds comparisons;
• Daily Intelligence Cards;
• fantasy sports projections and rankings;
• Survivor, Pick’em, Against the Spread and other pool-management tools;
• historical model-performance information;
• desktop software;
• web-based analytical tools; and
• other sports research and information products.

Pro Sports IQ uses statistical models, algorithms, commercially licensed or otherwise permitted data, and proprietary analytical methodologies to generate certain information displayed through the Services.

Pro Sports IQ is an analytics and research service.

Pro Sports IQ does not:

• operate a sportsbook;
• accept wagers;
• place wagers on behalf of users;
• facilitate the execution of wagers;
• hold customer wagering funds; or
• guarantee the outcome of any sporting event.

Any probabilities, projected scores, projected spreads, totals, fair odds, confidence ratings or similar outputs generated by Pro Sports IQ are statistical estimates and analytical opinions.

They are not guarantees of future results.

Users remain solely responsible for any decisions they make based on information obtained through Pro Sports IQ .

If you use Pro Sports IQ in connection with sports wagering, you are responsible for complying with the laws and regulations applicable in your jurisdiction.
Pro Sports IQ does not determine whether wagering is legal or appropriate for any individual user.

Certain Services require a Pro Sports IQ account.
You agree to provide accurate and current account information and to maintain the confidentiality of your login credentials.
You are responsible for activity conducted through your account.
You must promptly notify Pro Sports IQ if you believe your account or credentials have been compromised.
Unless expressly permitted by your subscription, accounts may not be shared, sold, transferred or made available to another person.

Pro Sports IQ may offer different subscription levels, sport packages, add-ons and feature entitlements.

Available features may vary based on:

• subscription level;
• selected sport or sports;
• Fantasy Intelligence add-ons;
• desktop access;
• promotional or trial access; and
• other account entitlements.

Pro Sports IQ may modify the features associated with subscription levels from time to time.

Material changes affecting an active paid subscription will be handled in accordance with applicable law and the applicable subscription terms.

Pro Sports IQ may offer free trials or promotional access.

Unless otherwise stated, a free trial:

• is available for the period displayed when the user registers;
• may be limited to one trial per user or household;
• may provide limited functionality; and
• may require conversion to a paid subscription for continued access.

Final rules regarding 7-day trial, including whether payment information is collected in advance and whether conversion is automatic to be finalized.

Prices are displayed before purchase and may vary by subscription, sport, feature or billing period.
Applicable taxes may be added.
Payments may be processed by third-party payment providers. Pro Sports IQ does not intend to directly store complete payment-card information where payment processing is handled by an authorized third-party payment processor.
You authorize the applicable payment processor to charge the payment method associated with your account for purchases and recurring subscriptions you authorize.

Recurring subscriptions may automatically renew for the applicable billing period unless cancelled in accordance with the cancellation procedure presented at purchase.

Users may cancel future renewal through the available account-management process or other method provided by Pro Sports IQ.

Cancellation normally prevents future renewal and does not necessarily terminate access already purchased for the current billing period.

Except where required by applicable law or expressly stated otherwise at purchase, fees paid for access to digital Pro Sports IQ Services may be non-refundable once the applicable service or subscription period has commenced.

Pro Sports IQ may provide or sell Daily Intelligence Cards, reports and other analytical publications.

These reports may contain:

• proprietary Pro Sports IQ model outputs;
• projections;
• probabilities;
• ratings;
• market comparisons;
• selected factual sports information; and
• original Pro Sports IQ analysis.

A purchase or subscription gives the user a limited right to use the report for personal purposes.

Unless expressly authorized, users may not commercially redistribute, resell, republish or systematically reproduce Pro Sports IQ reports.

Pro Sports IQ may offer Fantasy Intelligence as a subscription feature or optional add-on.
Fantasy projections and rankings are generated using Pro Sports IQ methodologies and may incorporate factors such as historical performance, playing time, team context, opponent information and other statistical inputs.
Fantasy projections are estimates only and do not guarantee player participation, fantasy points or contest results.

Pro Sports IQ may provide Survivor, Pick’em, Against the Spread, Double Up and other pool or tracking tools.
These features may allow users to create multiple entries and record their own selections and historical results.
Unless expressly stated otherwise, Pro Sports IQ does not administer the underlying third-party contest, hold contest funds or guarantee that selections comply with the rules of any external pool or competition.
Users are responsible for verifying external contest rules.

Pro Sports IQ may display licensed market information or comparisons between market information and Pro Sports IQ’ independently generated models.
Market prices, spreads, totals and other information may change rapidly.
Pro Sports IQ does not guarantee that displayed market information represents the price currently available from any sportsbook or other provider.
Pro Sports IQ model-derived “fair odds,” projected spreads or projected totals are proprietary analytical outputs and should not be interpreted as actual offers to transact.

Pro Sports IQ may provide optional bankroll-management or position-sizing tools.
Any Conservative, Standard, Aggressive or other wagering profiles are analytical tools only.
Suggested percentages, limits or position sizes do not guarantee preservation of capital or profitability.
Users remain solely responsible for determining whether and how much to wager and should never wager more than they can afford to lose.

Pro Sports IQ may obtain factual sports information, market information or other content from third-party providers.
Third-party information remains subject to the applicable provider’s rights and licence terms.
Pro Sports IQ does not grant users ownership of third-party data merely because that information appears through the Services.
Certain links or features may connect to third-party websites or services. Pro Sports IQ is not responsible for third-party services, availability, content, security or practices.

Pro Sports IQ and its licensors retain all rights in and to the Services and applicable intellectual property.

Pro Sports IQ proprietary intellectual property may include:

• source code;
• software architecture;
• interfaces and designs;
• statistical models;
• formulas;
• algorithms;
• model factors and weighting systems;
• simulations;
• ratings;
• rankings;
• projections;
• model-derived probabilities;
• fair odds;
• analytical methodologies;
• reports;
• written analysis;
• graphics;
• documentation; and
• proprietary databases and derived datasets.

Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to the user.

Certain subscription levels may include locally installed Pro Sports IQ software.
Desktop software may store user preferences, selections, pool histories, settings or other user-created information locally on the user’s device.
Users are responsible for maintaining appropriate security and backups of locally stored information unless Pro Sports IQ expressly provides a cloud-backup service.
Desktop access may require periodic authentication or licence verification.

Pro Sports IQ may update, improve, replace, suspend or discontinue features from time to time.
Sports-data providers may also change their services, availability, fields or delivery methods.
We will make reasonable efforts to maintain the Services but do not guarantee uninterrupted availability.
Maintenance, security events, provider outages or other circumstances may temporarily affect service.

Where Pro Sports IQ permits users to create or store selections, notes, preferences or other information (“User Content”), users retain their rights in their original User Content.
Users grant Pro Sports IQ the limited rights reasonably necessary to process User Content and provide the requested Services.
Additional terms may apply if optional cloud synchronization is introduced.

Our collection, use, disclosure and protection of personal information is described in the Pro Sports IQ Privacy Policy, which forms part of the framework governing use of the Services.

By creating an account, users may receive transactional communications relating to account security, billing, subscriptions, service changes and requested products.
Marketing communications will be handled in accordance with applicable law and user preferences.
Users may unsubscribe from marketing communications using the mechanism provided in those communications.

Pro Sports IQ

may suspend or terminate access where reasonably necessary, including for:

• non-payment;
• fraudulent activity;
• credential sharing;
• unauthorized redistribution;
• attempts to circumvent subscription controls;
• security threats;
• misuse of proprietary data or models;
• violation of these Terms; or
• unlawful activity.

Where appropriate and legally required, notice or an opportunity to remedy the violation may be provided.

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Pro Sports IQ does not make guarantees regarding sporting outcomes, investment or wagering results, fantasy results, uninterrupted service, or the completeness or accuracy of third-party information.
Nothing in these Terms excludes rights or remedies that cannot legally be excluded.

To the maximum extent permitted by applicable law, 2849797 ALBERTA Ltd. will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from use of the Services, including losses arising from reliance on analytical outputs, sporting outcomes, fantasy contests, wagering decisions, data-provider interruptions or loss of locally stored user information.

What should determine the appropriate aggregate liability cap, exclusions and consumer-law carve-outs for the final terms to be finalized.

To the extent permitted by applicable law, users agree to indemnify and hold harmless 2849797 ALBERTA Ltd. and its directors, officers, employees and representatives from claims arising from unlawful use of the Services, violation of these Terms, unauthorized redistribution of content, or infringement caused by material supplied by the user.
Counsel should finalize this provision.

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to applicable consumer-protection law, disputes will be submitted to the courts of Alberta, Canada.

Additional provisions to be decided they are appropriate as Pro Sports IQ expands into other jurisdictions.

Pro Sports IQ may update these Terms periodically.
The updated version will be posted with a revised “Last Updated” date.
Where required by law or where a change materially affects users’ rights, additional notice may be provided.
Continued use of the Services following an effective update constitutes acceptance where permitted by applicable law.
